myIPs Reseller Agreement:
Under the terms of this Reseller Agreement you may purchase myIPs software from us at 25% discount. All Liberation Keys are then forwarded to the e-mail address provided on our Secure Online Payment form.
You are responsible for technical support to your customers and will utilize the product information and technical support services of dZouL.Com to ensure that you
fulfill your responsibilities to your customers for myIPs software. You will be our sole source of contact in supporting your customers.
You agree to report applicable warranty and product installation information to dZouL.Com and to inform end users of any available dZouL.Com, and reseller warranty service options.
The reseller is responsible for policing the licenses sold. The reseller must ensure that the software is installed only on computers for which a licence has been purchased.
Reseller agrees that End User shall be bound by the terms of the License Agreement accompanying myIPs software. Reseller shall have no authority to modify in any way the terms of any License Agreement, nor to make any representations or warranties contrary to the License Agreements. Reseller shall make a good-faith effort to ensure that End User is aware of and complies with all License Agreements.
Reseller shall not send or cause to be sent any unsolicited email ("spam"), including newsgroup postings, regarding myIPs software or services involving myIPs.
Circumstances may arise where because of a default or other liability, one of us is entitled to recover damages from the other. These circumstances include, but are not limited to, breach of contract even if a fundamental breach, or tort, negligence or misrepresentation hereunder. In each such instance, regardless of the basis on which damages can be claimed, the follow terms apply:
Under no circumstances is dZouL.Com liable for any of the following:
- Third-party claims against you for losses or damages.
- Loss of, or damage to, your records or data.
- Special, indirect, consequential (including lost profits or savings) or incidental damages, even if we are informed of their possibility.
dZouL.Com is constantly updating and improving myIPs software. It follows that upgrades of myIPs software may behave differently from their predecessors and from time to time some features may be dropped. While dZouL.Com will endeavour to avoid unexpected disruption, the reseller must be aware that specifications can change and that dZouL.Com shall not be held responsible for any consequential loss.
Nothing in this Agreement shall prohibit dZouL.Com from selling myIPs software directly to any customer desired without involvement of or obligation to Reseller.
Reseller agrees not to, directly or indirectly, sub license, publish, distribute, disclose, disseminate, reverse engineer, decompile, copy, or reproduce myIPs software except as provided for in this Agreement. Reseller shall not use myIPs software as the part of Reseller's own product or service without express written approval of dZouL.Com.
Reseller agrees that all of dZouL.Com's rights, including but not limited to, intellectual property rights, trademarks, and copyrights, shall fully remain with dZouL.Com. Reseller shall act merely as a reseller of myIPs software, and shall gain no rights over dZouL.Com or myIPs software.
dZouL.Com reserves the right to modify any of the terms of this Agreement at any time at its sole and absolute discretion. Notice of any changes and their effective date will be emailed to the currently listed contact email address on file for the Reseller and post such changes to the myIPs web site. Your continued participation in this contract after the notification and posting of such a change constitutes binding acceptance of the changes.
